• Manufacturer of branded food products
Objective:
• Pursue acquisition strategy to achieve growth and diversification
Cobble Hill's Role:
• Work with management to define acquisition criteria.
- Specific food categories that would provide diversification while leveraging Client's purchasing, marketing and distribution capabilities
- Revenue and EBITDA ranges
- Geographical preferences
- Ownership profile
- Fit with Client's company culture and values
• Develop proprietary database of more than 2,500 food companies based on size and geography.
• Screen each company in database to identify short list of 150 companies.
• Contact owners of approximately 50 companies to determine fit, level of interest, and price expectations.
• Arrange introductory calls between Client and best prospects.
• Conduct preliminary financial due diligence on potential acquisition targets.
• Work with management to determine offer price and terms for selected targets.
• Conduct preliminary negotiations with primary target.
• Work with client and primary target to resolve issues related to price and terms.
• Setup and organize data room for detailed due diligence.
• Work with legal and accounting teams to facilitate due diligence and documentation.
Outcome:
• Client successfully closed the acquisition and integrated it into their operations. Cobble Hill now working with Client to identify second acquisition opportunity.
